Company Expects 2009 Results in Upper Half of Guidance Range

Secures National Behavioral Health Agreement with WellCare

AVON, Conn. — Magellan Health Services, Inc. (Nasdaq:MGLN) today reported net income
of $31.0 million, or $.88 per diluted common share, and segment profit
of $64.5 million for the third quarter of 2009. The Company also
increased guidance for the full year to the upper half of its previously
disclosed range.

The Company attributed these results to strong revenue performance
across all business segments and effective cost-of-care grow taller exercises management. It
also announced today that it has signed a binding letter of agreement
with WellCare Health Plans, Inc. to expand management of behavioral
health care for the plans entire book of business, resulting in total
annualized WellCare revenues in excess of $100 million.

Background: In March 2008, debtor Joseph S. Rinaudo filed a petition initiating a Chapter 7 case. On the Schedules and Statements required to be filed by Section 521 and Rule 1007, the debtor indicated he was indebted in the amount of $115,000 to debt assistance the Genesee Regional Bank based on his guaranty of a loan Genesee made to Signature Gold Inc., which he indicated also was guaranteed by Rinaudo Development Inc. and Mary T. Rinaudo. In June 2008, Genesee commenced an adversary proceeding against the debtor and requested the court determine that the Genesee indebtedness was nondischargeable pursuant to Section 523 and that the debtor’s discharge should be denied pursuant to Section 727. The complaint alleged Signature Gold was a corporation owned solely by the debtor, which operated under the assumed name of RE/MAX Gold. It also alleged it was owned equally by the debtor, Mary Rinaudo and the debtor’s father, Salvatore Rinaudo. Signature Gold defaulted on the loan from Genesee and, at the time of the filing of the adversary proceeding, the Genesee indebtedness was $101,269, plus interest and late charges. On April 2, 2008, after the debtor filed his bankruptcy petition, Genesee commenced an action in the state Supreme Court, Monroe County, against Salvatore Rinaudo on his personal guaranty of the Genesee indebtedness.

Ruling: A creditor seeking to have a debt declared nondischargeable under Section 523(a)(2)(A) for a false representation must prove by a preponderance of the evidence that the debtor made a representation knowing that representation was false, with the intent to deceive the creditor, and on which the creditor actually and justifiably had relied and sustained a loss. The court finds the Genesee indebtedness nondischargeable, pursuant to Section 523(a)(2)(A) because, among other reasons, the debtor was the sole owner of Signature Gold and the RE/MAX real estate sales franchise, so the loan made by Genesee to Signature Gold was for his individual benefit. The debtor’s mother and father, Mary and Salvatore Rinaudo, and development, by pledging its assets, merely were accommodation-makers for the debtor’s benefit. As the actual and intended beneficiary of the Genesee loan to Signature Gold, the debtor ultimately was responsible for insuring that all of the conditions precedent to the loan were met

Editor’s note: The following is the first article in an ongoing look at how seniors choose to live in Rochester.

The much-hyped “silver tsunami” is something for which even home builders should be bracing.

That’s the advice of a recent national study, “55 : Builders, Buyers and Beyond,” conducted by the MetLife Mature Market Institute on what baby boomers will be looking for when it comes to building a home for their golden years.

The 55 and older group is projected to be one of the key drivers of the national home construction market, the study reports, but local experts say senior housing already is an important, prominent, sector in the region.

“The numbers are staggering for our baby boomer industry and 50- plus housing already is a big market. That will only increase based

on the population statistics,” said Dawn Aprile, chairwoman of the board of the Rochester Home Builders’ Association.

Baby boomers likely will prove a boon for local construction industry in the coming years for a number of reasons, the first being the region’s ever-growing aging population.

Seniors aren’t rushing to the Sun Belt to find their home for their golden years, Aprile said. Because seniors are working longer, or want to stay close to their family, friends and an established support network, more are choosing to remain in their communities, or at least in the same region, she said.

National reports “are citing that as a very large reason why our industry in the Northeast will remain steady because people do want to stay and age in place,” Aprile said.

The top four reasons cited by seniors who choose to build are the desire for a maintenance-free lifestyle, the desire to move closer to family, lower living costs and a desire to change neighborhoods.

“That results in more demand in our area with our existing people, … so it’s encouraging in that respect,” Aprile said.

The report suggests home builders aren’t always aware of just how the gray tsunami will affect their business, however, specifically when it comes to the amenities seniors will want in a new dwelling.

“Builders seem to be doing a very good job of including more amenities/features associated with the advantages of universal design recommendations (i.e., lever-handle/door knobs, wider doors and hallways, separate shower and bath), but consumer preferences do not reflect an equal appreciation of these features,” the report states.

Study respondents also value features such as non-slip floors, larger medicine cabinets, lower kitchen cabinets and emergency call buttons, features “many builders see as less important.”

Where builders and consumers see eye-to-eye seems to be in building in a location near resources such as shopping centers or health care providers.

“Builders and developers have been responding to these preferences in locating their communities,” the report states.

Rochester’s suburbs appears to be popular with seniors older than the age of 65. More than 95,000 seniors aged 65 and older live in Monroe County, according to the county’s 2005-2010 Strategic Plan on affordable housing and the gas fireplace inserts U.S. Census bureau. More than 21,000 of them call the City of Rochester home and more than 73,000 live in the suburbs.

That statistic also seems to be reflected nationally. The MetLife study found that the suburbs are a popular senior choice, with 32 percent of respondents desiring a home in inner-ring suburbs, 31 percent in outlying suburbs and 28 percent in rural communities

This Taiwan traffic-adaptive arterial signal control model borrowed its traffic flow framework mainly from a British traffic-adaptive control model with a cyclic traffic progression function, i.e. SCOOT (Split Cycle Office Optimisation Technique). The new arterial control model can take into account delays of both major and minor streets and make real-time signal timing decisions with optimal two-way signal offsets, so as to create the best arterial signal operation performance.
